Terms of Service

1. Acceptance of these Terms

By creating a FeelGuide account, signing in, or otherwise using the FeelGuide website, mobile applications, or related services (the “Platform”), you agree to these Terms of Service and our Privacy Policy. These Terms form a binding agreement between you and FeelGuide, Inc. (“FeelGuide,” “we,” “us”). If you do not agree, do not create an account or use the Platform.

If you are accepting these Terms on behalf of a practice, group, supervision entity, or other organization, you represent that you are authorized to bind that organization, and “you” includes both you individually and that organization.

2. Who FeelGuide is for

FeelGuide is a peer-to-peer professional network. It is built for three audiences, and access depends on which one you are:

  • Licensed clinicians — independently licensed mental-health professionals (LCSW, LMFT, LPC/LMHC, LCPC, psychologists, psychiatric prescribers, and equivalent licensed counterparts) with an active, unrestricted license in at least one U.S. state.
  • Affiliate specialists — adjacent licensed professionals who frequently work alongside mental-health clinicians (e.g., speech-language pathologists, occupational therapists, registered dietitians, acupuncturists, audiologists). Affiliates have a limited feature set as described in your account.
  • Supporters — pre-licensed clinicians, students in an accredited clinical program, and other adults vetted into the community. Supporters have the most restricted access and cannot list paid marketplace offerings.

You must be at least 18 years old. You must provide a real legal name, an accurate license number where applicable, and accurate practice information. You must maintain your licensure and credentials in good standing for the entire time you use the Platform.

3. FeelGuide is not a treatment service

FeelGuide is a directory, referral, and communication tool for professionals. It is not a treatment platform, telehealth service, EHR, scheduling system, or substitute for clinical judgment. Nothing on FeelGuide creates a clinician-patient relationship between you and FeelGuide, and FeelGuide is not a party to any clinical relationship, referral, or arrangement you form with another user. You are solely responsible for your clinical decisions, informed consent, jurisdictional scope of practice, ethics-code compliance, supervision obligations, and any business arrangement that results from a connection made on the Platform.

If you are in crisis or believe someone else is, call or text 988 (Suicide and Crisis Lifeline) or dial 911. FeelGuide does not provide emergency services.

4. Account responsibilities

You agree to:

  • Provide accurate, current, and complete information during sign-up and keep it current (license number, license state, license type, NPI where applicable, practice address, contact details).
  • Keep your password and any two-factor authentication device confidential, and notify us at security@feelguide.network of any suspected unauthorized access.
  • Use one account per person (no shared logins) and not transfer or sell your account.
  • Maintain valid professional licensure while using the Platform; tell us promptly if your license is suspended, surrendered, revoked, restricted, or placed on probation.

We may verify your license at any time using state-board records, NPI registries, peer vouching, and other public or contracted sources.

5. Acceptable use

You may not:

  • Post or transmit identifiable Protected Health Information (PHI) about any specific person, including full names, dates of birth, addresses, photographs of identifiable clients, or any combination of facts that could reasonably identify a client. Referral Board posts must be de-identified, and our AI screen will flag content that appears to contain PHI, but you remain responsible for redaction.
  • Misrepresent your credentials, license type, jurisdiction, scope of practice, or supervision status.
  • Use the Platform to harass, threaten, defame, dox, or discriminate against any user, client, or third party.
  • Solicit clinical services from another user as if FeelGuide were a treatment intake channel, or use messaging to deliver clinical care to a client.
  • Scrape, copy, mirror, or extract Platform content other than your own profile and content you have created.
  • Attempt to bypass billing, abuse trials, abuse referral or invite incentives, share login credentials, or circumvent technical access controls.
  • Use the Platform to violate any law, professional ethics code, or third-party right (intellectual property, contract, privacy, or otherwise).
  • Use automated tools (bots, scrapers, fake accounts, mass-message scripts) against the Platform without our written permission. The Faye assistant and other tools we offer are exceptions to this.

We may remove content that violates these rules and may suspend or terminate accounts as described in Section 12.

6. Subscriptions, trials, and billing

FeelGuide offers a free baseline tier and paid subscriptions for clinicians and affiliates. Current pricing is shown in-app and includes a $19/month base clinician subscription plus optional add-ons (office listing, practice listing, supervision listing). Pricing may change; we will notify you in advance of changes that affect your active subscription.

Paid subscriptions auto-renew until you cancel. You can cancel anytime from Settings → Billing; cancellation stops the next renewal but does not refund the current period except where required by law. Billing is handled by Stripe; we never receive or store your full card number. We may offer free trials (typically 30 days, with a 30-day extension to 60 days total when a card is on file) and comped accounts on terms we display at the time of the offer. Comped access can be revoked at our discretion if it was provided through a program (e.g., founding member, partner roster) and the basis for that program changes.

Failed payments may trigger a grace period before paid features are paused; we will email you using your account email.

7. Listings, the Referral Board, and Socialights

Some features let you publish content visible to other users:

  • Profile — what other clinicians see when you appear in search and directory views.
  • Office, Practice, and Supervision listings — paid add-ons that promote a physical office, group practice, or supervision opening.
  • Events board — clinician-posted trainings, networking, and conferences. You are responsible for the accuracy and lawfulness of each event.
  • Referral Board — anonymous “I’m looking for a clinician for...” posts. These must be de-identified. Our AI screen flags suspected PHI; flagged posts may be held for review or returned to you for redaction.
  • Socialights — a directory of vetted social-media-community partners. Inclusion requires our manual review; we may remove a community at any time.

You grant FeelGuide a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, format, cache, and make available the content you submit to these features, solely to operate, promote, and improve the Platform. You can remove your content (and we will stop displaying it) by deleting it in-app; backups and audit logs may persist for the windows described in the Privacy Policy.

8. AI features (Rapport Score, screening, and Faye)

FeelGuide uses automated and AI-assisted features:

  • Rapport Score (internally “trust score”) is an algorithmic score reflecting your verification status, profile completeness, peer endorsements, response time, and platform activity. It is presented for context and is not a guarantee of fit or clinical quality. We may change how it is computed.
  • Referral Board PHI screen uses an AI classifier to flag content that may contain PHI before it is posted. It is a safety net, not a substitute for your own redaction.
  • Profile and onboarding prompts may suggest text completions or improvements. You decide what to publish.
  • Faye is an in-app assistant (the floating widget in the bottom-right) that can read files you upload (PDFs, CSVs, screenshots, business-card photos) and extract contact information to help you invite colleagues. Faye is powered by Anthropic’s Claude models. Do not upload files containing identifiable client PHI to Faye. Faye is intended for colleague contact lists and professional documents, not clinical records.

How files flow through Faye is described in the Privacy Policy. By using Faye you authorize us to send your uploaded files to Anthropic for processing, on the terms described there.

9. Communications

By creating a FeelGuide account, you agree that we may send you:

  • Transactional communications (account, security, verification codes, referral notifications, message notifications, billing receipts) by email and in-app. These are part of the service and you cannot opt out without closing your account.
  • Marketing communications (digests, product announcements, partner programs) by email. Every marketing email contains an unsubscribe link, and you can also manage preferences in Settings → Notifications.
  • SMS messages for two-factor authentication, account recovery, and (if you have opted in) limited service notifications. Reply STOP to opt out of optional SMS at any time; reply HELP for help. Message and data rates may apply, and message frequency varies. We do not use SMS for marketing.

Your phone number is treated under the dedicated clause in the Privacy Policy. We do not sell or rent it.

10. Intellectual property

You retain ownership of the content you submit (profile copy, posts, photos, video introductions, events, listings). FeelGuide owns the Platform itself — software, designs, the FeelGuide name and logo, the Rapport Score methodology, the Faye assistant, and the underlying directory data structures. You may not copy, reverse-engineer, white-label, or resell the Platform without our written permission. If you submit feedback, we may use it without obligation to you.

11. Third-party services

We rely on third parties to operate the Platform (database/auth, hosting, email, SMS, payments, AI). They are listed in the Privacy Policy. We are not responsible for the conduct of other users or for external services you reach via links from the Platform. Your interactions with other users — including any clinical referral, supervision arrangement, or business deal — are between you and them.

12. Suspension and termination

You can delete your account at any time from Settings → Danger Zone. Deletion soft-deletes your account for a 7-day grace window (during which you can reverse it by signing in), after which the account and most associated data are purged on the schedule described in the Privacy Policy.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, misrepresented your credentials or identity, lost your license in good standing, exposed PHI in a way that creates a legal or safety risk, or otherwise put the Platform or its users at risk. We may also discontinue features or the Platform at our discretion. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution) survive.

13. Disclaimers

The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, FeelGuide disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the Platform will be uninterrupted, error-free, secure against every threat, or that any specific clinical, business, or referral outcome will result from its use. License verification, NPI cross-checks, vouching, and the Rapport Score are tools, not guarantees of competence, suitability, or fit.

14. Limitation of liability

To the maximum extent permitted by law, FeelGuide and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, or business opportunity, arising out of or related to your use of the Platform — even if we have been advised of the possibility of such damages. Our aggregate liability for all claims relating to the Platform is limited to the greater of (a) the fees you paid FeelGuide in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow these limits; in those, the limits apply to the extent permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless FeelGuide and its officers, employees, and contractors from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (i) your use of the Platform, (ii) your content, (iii) any clinical, business, or referral relationship you form through the Platform, (iv) your violation of these Terms or applicable law, or (v) your violation of the rights of a third party. We will tell you about any such claim and let you control the defense with counsel reasonably acceptable to us; we may participate in our own defense at our expense.

16. Dispute resolution — informal first, then arbitration

We want to resolve disputes quickly and without lawyers when we can. Before either of us files an arbitration demand or court action, the party with the concern will send the other a written notice (email is fine: legal@feelguide.network for notice to us; the email on your account for notice to you) describing the dispute and the relief requested. Both parties will meet and confer in good faith, by phone or video, within 45 days of the notice to try to resolve the dispute informally.

If we cannot resolve it informally, any dispute, claim, or controversy between you and FeelGuide arising out of or relating to these Terms or the Platform will be resolved by final, binding, individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be held in Austin, Texas, by video or telephone where the AAA rules allow. Either party may bring a qualifying claim in small-claims court instead of arbitration, and either party may seek injunctive relief in court for intellectual-property infringement or unauthorized account access.

Class-action waiver. You and FeelGuide each agree to bring disputes against the other only individually and not as a plaintiff or class member in any class, collective, consolidated, or representative action. The arbitrator has no authority to consolidate claims or preside over a class proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court and the rest of this Section 16 will still apply to the remaining claims.

Opt-out. You may opt out of this arbitration agreement by emailing legal@feelguide.network with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Include your name and the email on your FeelGuide account. Opting out does not affect any other part of these Terms.

This section does not waive your right to file a charge with a government agency or to participate in a government agency investigation.

17. Governing law and venue

These Terms are governed by the Federal Arbitration Act for matters of arbitration, and otherwise by the laws of the State of Texas, without regard to conflict-of-laws principles. For any claim that is not subject to arbitration (or where arbitration is found unenforceable), the parties consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas (Austin).

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms here and update the “Last updated” date. For material changes, we will give you advance notice by email or an in-app banner at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree, please stop using the Platform and delete your account.
